They’re cautious because the cost of getting it wrong is existential.
In parallel, a 2025 benchmarking study of in-house legal departments found that 60% of respondents cited “lack of trust or quality in AI outputs” as their top barrier to adoption — outranking cost, integration complexity, and every other factor. Data privacy concerns followed at 57%. In a world where a single misread provision in a limited partnership agreement or a poorly flagged regulatory issue in a fund document can translate into millions in liability or a blown LP relationship, this isn’t excessive caution. It’s professional survival instinct.
And the gap between what general-purpose AI can do and what it should be trusted to do in these environments remains vast. When a fund lawyer reviews a subscription credit facility, the question isn’t whether the AI can summarise a document. It’s whether it can correctly identify the borrowing base calculation methodology, distinguish between a “clean-down” requirement and a “clean-up” period, and flag the interaction between springing lien provisions and NAV covenants. A generic tool that gets this right 90% of the time is, in practice, a tool that introduces material risk 10% of the time — and in private capital, that’s not an acceptable failure rate.
What drives adoption in regulated industries isn’t features — it’s confidence

Meanwhile, Oracle Health (which acquired Cerner for $28.3 billion) has been losing market share, with hospitals consistently citing poor follow-through on promises as their primary concern. Oracle’s loyalty and relationship ratings dropped more than 10 points after the acquisition.
The lesson is clear. In healthcare, as in private capital, the vendor that wins long-term isn’t the one with the most impressive demo. It’s the one that demonstrably understands the workflows, regulatory constraints, and professional stakes of the people using the software every day.
The Veeva playbook: why domain-focused founders change the equation

Research from Euclid Ventures analysing vertical software exits found that teams with a domain-expert founder accounted for 73% of all exits by deal count and a striking 84% of all exit dollars. The advantage isn’t abstract — it shows up in faster trust-building with customers, better hiring (teams that speak the industry’s language), and products that don’t force users to translate their needs into terms the software can understand. Vertical SaaS companies with deep industry focus also report churn rates up to 50% lower than horizontal counterparts. When domain expertise is embedded into the product’s DNA, it creates retention that no generic platform can replicate.
The private capital world is a textbook case for where this dynamic applies. Fund formation, subscription lines, GP/LP reporting, regulatory filings, portfolio company due diligence — these aren’t generic document workflows. They’re deeply specialised processes with their own terminology, market conventions, and regulatory overlay. A founder who’s actually negotiated a side letter at 1 AM, or spent weeks in a data room reviewing target company contracts, or drafted investor questionnaires for a multi-jurisdictional fund structure, will build a fundamentally different product than someone who’s read about these processes from the outside.
Trust as architecture, not afterthought
A recent enterprise software report put it well: trust — not capability — is the primary constraint on enterprise AI adoption. The companies that treat trust as a core innovation challenge, rather than a compliance box to tick, will define the next generation of software in regulated industries.
In private capital, that means something specific. It means AI that produces outputs a lawyer or investment professional can verify — not black-box summaries, but traceable reasoning tied to specific clauses and provisions. It means systems built with an understanding of how a GP counsel thinks differently from an LP’s outside counsel reviewing the same document. It means respecting that when a CFO needs AI-assisted analysis of waterfall calculations or fee structures, the tolerance for error isn’t “pretty good” — it’s zero.
This is fundamentally different from how most AI products are built. Most start with a general model and layer on domain-specific prompts or fine-tuning. The result often looks impressive in a demo — and then falls apart on the edge cases that define real-world practice. The difference between a system that works on a standard LPA and one that correctly handles a European-style fund with multiple parallel vehicles, co-invest sidecars, and jurisdiction-specific regulatory requirements is the difference between a proof of concept and a product professionals can rely on.
Why obsessive testing matters more than you think
There’s a well-understood gap in software development between a system that works in a demo and one that works in production. In most software categories, that gap is annoying. In legal and financial services AI, that gap is dangerous.
Consider what rigorous testing actually requires in this space. When AI reviews a private credit facility, it isn’t enough to check that it “generally understood” the document. You need to verify: Did it correctly interpret the borrowing base mechanics? Did it flag the material adverse change definition and its interaction with the drawstop provisions? Did it identify the specific financial covenants and their testing frequency? Did it distinguish between events of default and potential events of default? These aren’t things you test with generic legal benchmarks. You need people who’ve spent years negotiating these exact provisions — who know which edge cases matter because they’ve encountered them under deadline pressure.
This is where the gap between a domain-expert team and a general-purpose AI company becomes most visible. A team that has lived the workflow — that has been the user — builds test suites that reflect real-world complexity, not sanitised examples. They test for the things that only an experienced practitioner would know to check.
The fintech parallel
Think about what happened in financial services technology. The companies that gained lasting traction weren’t the ones that tried to disrupt with flashy interfaces. They were the ones that deeply understood regulatory requirements, built trust with compliance teams, and proved their technology could operate within the constraints of a heavily regulated environment. Stripe didn’t just simplify payments — it made compliance invisible. Bloomberg didn’t just aggregate data — it built a terminal that speaks the exact language of finance professionals, with workflows that mirror how traders and analysts actually think. That’s why it commands $25,000+ per seat in a world of free alternatives.
The same dynamic is now playing out in legal AI for private capital. The winners won’t be the companies with the most impressive general-purpose language model. They’ll be the ones that understand exactly what a fund formation lawyer needs versus a fund finance lawyer versus a PE associate reviewing a CIM in a data room — and that can prove, through rigorous domain-specific testing and verifiable outputs, that their technology meets the standard the profession demands.
What to look for
If you’re a legal professional, a fund CFO, or an investment professional evaluating AI tools, the questions worth asking aren’t about model size or training data. The questions that matter are more practical:
Has the team that built this actually worked in my corner of the market? Do they understand the documents I work with, the regulatory regimes I operate under, and what’s at stake when something is wrong?
Can I verify what the AI produces? Not in a theoretical way, but practically — can I trace an output back to a specific source, clause, or data point and confirm it’s accurate?
How was this tested? Not benchmarked against a generic legal dataset, but stress-tested against the specific document types, deal structures, and edge cases I’ll encounter in practice?
Does this vendor understand that in private capital, the relationship between GPs and their counsel, between funds and their LPs, between deal teams and their advisers, is built on precision and reliability — and that AI needs to earn its place within that chain of trust, not shortcut it?
The answer to that last question tends to become obvious fairly quickly.
